Joint venture launched with ESPE for the development of big photovoltaic systems

Solsonica S.p.A., an EEMS Group company ranking with the leaders in Italy in the production of photovoltaic cells and modules, signed a letter of intent on 30 April 2009 last to set up a joint venture with ESPE S.r.l., which operates in the field of renewable energy and is one of the major Italian companies engaged in the design and realisation of photovoltaic systems. The two companies within the coming weeks will prepare the relative agreements which, when signed, will set up the joint venture with the formation of the relative vehicle company.

The two companies, which will participate in the joint venture on a 50/50 basis, will have equal governance powers. As of today they are not in a position to quantify the financial aspects of the agreement since these at present are in course of definition.

The Joint Venture, whose brand will be presented at the coming Solarexpo at Verona, will aim at promoting the construction of important photovoltaic systems, with a single offer being made to customers, synergising the expertise of the two Solsonica and ESPE groups in the production of modules and the realisation of systems respectively.

This proposal, put to the customer by a single party responsible for the business, which will be attractive to the financial system, will guarantee the system's reliability and efficiency, at the same time ensuring satisfactory cost control and certainty in the construction time schedule, even in the case of more complex structures.

The new Joint Venture's activities will initially be addressed to the Italian market and subsequently also to foreign markets.

The agreement signed between Solsonica and ESPE leaves both parties with wide autonomy in the performance of their respective core businesses and does not involve a change of mission for Solsonica, which continues to set itself as an outstandingly innovative producer of high-quality photovoltaic cells and modules.

Solsonica S.p.A. – an EEMS Group subsidiary: set up in 2007, it produces photovoltaic cells and modules and engages in advanced research for the development of innovative processes for the improvement of efficiency and reliability in photovoltaic systems.

ESPE S.r.l. – constituted in 1974: it is an ESPE Group company supplying complete and technologically advanced energy systems and solutions in multiple strategic areas: going from the most evolved technological systems to the more traditional ones in the energy field, such as hydroelectric systems, and systems with innovative technologies, such as photovoltaic systems, in all of which the company has established itself as a leader.

The EEMS Group is among the leading operators at world level in the assembly, testing and finishing of semiconductor memories and – through its subsidiary Solsonica SpA – produces photovoltaic cells and modules and develops complete solutions for the design and realisation of photovoltaic systems. EEMS counts among its customers some of the most prestigious manufacturers of semiconductor memories, such as Nanya Technology Corporation and Broadcom. Its headquarters are in Cittaducale (Rieti, Italy), with a strong operational presence in China and Singapore.
